1. Acceptance of Terms

By accessing and using Zhaval Admin application, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these terms, you should not use this application.

2. Use License

Permission is granted to temporarily use Zhaval Admin for restaurant management purposes only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the application materials
• Use the materials for any commercial purpose outside of restaurant management
• Attempt to decompile or reverse engineer any software contained in the application
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server

3. Restaurant Owner Responsibilities

As a restaurant owner using Zhaval Admin, you are responsible for:

• Maintaining the confidentiality of your account credentials
• Ensuring all menu items, descriptions, and pricing are accurate and up-to-date
• Fulfilling all orders placed through the platform in a timely manner
• Complying with all local, state, and national food safety regulations
• Managing your restaurant's operating hours and availability accurately
• Providing quality food that meets health and safety standards
• Handling customer complaints and issues professionally
• Maintaining proper licenses and permits for food service operations

4. Order Management

4.1 Order Processing

You agree to:

• Respond to orders within a reasonable timeframe
• Accept or reject orders based on availability and capacity
• Maintain quality standards for all food items
• Ensure accurate order preparation and packaging

4.2 Order Cancellation

You have the right to cancel orders with valid reasons, including but not limited to:

• Unavailability of ingredients
• Technical issues
• Force majeure events
• Suspected fraudulent orders

5. Payment Terms

• All transactions are processed through the Zhaval platform
• Payment settlements will be made according to the agreed schedule
• You are responsible for any applicable taxes, including GST, service tax, and other levies
• Service fees will be deducted as per the partnership agreement
• You must maintain accurate financial records
• Disputes regarding payments must be raised within 30 days

6. Data Accuracy and Information

You agree to provide accurate, current, and complete information about:

• Your restaurant business details
• Menu items, ingredients, and allergen information
• Pricing and availability
• Operating hours and delivery areas
• Contact information for customer support

You must update this information promptly when changes occur.

7. Prohibited Activities

You are prohibited from:

• Providing false, misleading, or deceptive information
• Violating any local, state, or national laws and regulations
• Infringing on intellectual property rights of others
• Engaging in fraudulent activities or price manipulation
• Discriminating against customers based on race, religion, gender, or other protected characteristics
• Using the platform to sell prohibited or illegal items
• Manipulating reviews or ratings
• Sharing your account credentials with unauthorized persons

8. Food Safety and Quality

You must:

• Comply with all food safety and hygiene regulations
• Maintain proper food storage and handling practices
• Ensure all staff are trained in food safety
• Maintain valid health and safety certifications
• Report any food safety incidents immediately
• Maintain cleanliness of kitchen and preparation areas

9. Intellectual Property

The Zhaval Admin application and its original content, features, and functionality are owned by Zhaval and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

10. Termination

We reserve the right to terminate or suspend your account and access to the application immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms and Conditions
• Violation of applicable laws or regulations
• Fraudulent or illegal activities
• Repeated customer complaints
• Failure to maintain required licenses or permits
• Non-payment of fees or charges

Upon termination, your right to use the application will cease immediately.

11. Limitation of Liability

Zhaval shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use the application
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the application
• Any bugs, viruses, or other harmful code that may be transmitted through the application
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the application

12. Indemnification

You agree to defend, indemnify, and hold harmless Zhaval and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of the application
• Your violation of these Terms
• Your violation of any third-party rights
• Food safety incidents or health issues related to your food products

13. Dispute Resolution

Any disputes arising out of or relating to these Terms shall be resolved through:

• Good faith negotiations between the parties
• Mediation, if negotiations fail
• Arbitration in accordance with applicable laws

The jurisdiction for any legal proceedings shall be determined by applicable law.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of any material changes by:
